1. Introduction

1.1 These Terms and Conditions ("Agreement") apply between you ("Client" or "User") and Cassbana Technologies ("Cassbana", "we", "us", or "our"), governing all aspects of Cassbana's services. 1.2 The merchant from whom you purchase goods or services using Cassbana's platform is not a party to this Agreement. Any terms agreed upon between you and the merchant are separate from this Agreement.

2. Definitions

• You / Your: The client identified the information provided to use Cassbana's services. • We / Us / Cassbana: Cassbana Technologies, a limited liability company registered in the Kingdom of Saudi Arabia, Sultanate of Oman, and the Arab Republic of Egypt, owner of the Cassbana brand. • Merchant: A business entity offering Cassbana's services to its customers under a valid agreement. • Client: Any legally registered entity in Saudi Arabia, Oman, or Egypt that uses Cassbana's services through a merchant or platform. • Cassbana Account: The account created or approved for the client to access Cassbana's services, subject to these Terms. • Cassbana Service: The service chosen by the client to purchase goods or services from merchants/platforms through Cassbana's payment method. • Merchant Platform: Any platform, website, or app that allows multiple merchants to list and sell goods or services. • Purchase Request: A transaction initiated by the client through a merchant's website or POS system to use Cassbana's services. • Approved Transaction: A purchase request accepted and approved by Cassbana. • Process: The steps required to complete a transaction using Cassbana. • Refund: The amount returned to a client after a dispute resolution with a merchant. • Dispute: Any claim, chargeback, or compensation request by a client related to goods or services connected to an approved transaction. • Identification Information: All personal or business information required to create and verify a Cassbana Account. • Net Amount: The total payable by the client (including VAT and shipping) for a purchase, minus any approved returns, discounts, or credits. • Clause: A numbered section in this Agreement. • Transaction Information: All data and documentation relating to a purchase request.

3. Using Cassbana Services

3.1 You may request to use Cassbana's service when selecting the "Pay with Cassbana" option at checkout on a merchant's website or platform. 3.2 Cassbana enables you to buy now and pay later under terms and schedules presented during checkout. By proceeding, you acknowledge and accept these terms. 3.3 Once you confirm a payment schedule, it becomes binding. 3.4 You must create a valid Cassbana Account to access our services. 3.5 You are solely responsible for ensuring the accuracy and currency of your identification information. 3.6 By agreeing to these terms, you confirm that: (a) All information provided is accurate, complete, and solely for your business; (b) You will maintain the confidentiality of your account credentials; (c) You are financially and legally responsible for all authorized activities under your account; (d) You will update identification data when necessary; (e) You will provide additional information if requested; (f) You will inform Cassbana of any changes affecting eligibility. 3.7 Cassbana reserves the right, at its sole discretion, to accept or reject any purchase request—even after initial approval.

4. Cassbana Account

4.1 Creating a Cassbana Account is required to access our services. 4.2 You must ensure that all information provided is accurate and complete. 4.3 You are responsible for keeping your account details updated. 4.4 You may request to close your account at any time, provided there are no outstanding dues. You remain liable for any obligations that existed prior to closure. 4.5 You may withdraw your consent for data processing within the limits of applicable contractual and legal requirements.

5. Data and Privacy

5.1 Cassbana retains and processes personal and business data in accordance with the data protection laws of Saudi Arabia, Oman, and Egypt. 5.2 You agree to provide any information requested for identity verification (KYC). Failure to do so may result in account suspension or closure. 5.3 Cassbana will not share your data except as necessary for service provision or as required by law. 5.4 Your data may be shared for credit checks, anti-money laundering, or fraud prevention. 5.5 Data may be disclosed to courts, regulators, or government authorities if legally required. 5.6 Cassbana may engage third parties to verify your identity or business information. 5.7 All communications and data sharing comply with applicable Central Bank regulations. KYC and Data Categories May Include: Full Name, Commercial Registration Number, Establishment Date, ID/Residence Number, Birth Date and Place, National Address, Contact Number, Bank or Credit Information. Sensitive data (such as banking details or ID numbers) will not be used for marketing purposes.

6. Client Declarations

6.1 You confirm that you are the authorized representative of your organization and have the authority to agree to these Terms. 6.2 You agree not to use Cassbana's services for illegal, unauthorized, or fraudulent purposes and to immediately report any suspicious activity. You further agree not to: (a) Violate any applicable laws or regulations; (b) Provide false or misleading information; (c) Use others' information or accounts; (d) Allow unauthorized access to your account; (e) Use Cassbana's services for unapproved purposes; (f) Create multiple accounts without authorization. 6.3 You agree to fully cooperate with Cassbana in any investigation. 6.4–6.5 You authorize Cassbana to obtain information about your business and credit history from service providers and official credit bureaus in Saudi Arabia, Oman, and Egypt. 6.6 You certify that all business and financial information you provide is true and complete. 6.7 You authorize Cassbana to review your personal credit record for verification purposes.

7. Intellectual Property

7.1 All content, materials, and designs related to Cassbana's services are protected by intellectual property laws. Copying, redistribution, or publication without prior written consent is strictly prohibited. 7.2 All trademarks, logos, and service marks displayed on Cassbana's platforms are the exclusive property of Cassbana.

8. Electronic Agreement & Communication

8.1 By clicking "I Agree," you legally consent to this Agreement under the applicable laws of Saudi Arabia, Oman, or Egypt. 8.2 You agree to keep your contact details (email, phone number, etc.) up to date. 8.3 Cassbana may send notifications via SMS or email. You confirm that you are the primary user of the registered phone number and will notify Cassbana if it changes.

9. Term and Termination

9.1 This Agreement takes effect upon your acceptance and remains valid until terminated. 9.2 Either party may terminate this Agreement at any time, with or without cause. Cassbana is not obligated to provide a reason for termination. 9.3 You may request termination by emailing info@cassbana.com. You remain responsible for all outstanding payments or obligations after termination.

10. Disclaimers & Limitation of Liability

10.1 You release Cassbana and its affiliates from all liabilities arising from: (a) Use or inability to use the services; (b) Negligence or misconduct; (c) Legal or regulatory violations; (d) Submission of false or incomplete information. 10.2 Cassbana's services are provided "as is", without warranties of any kind unless required by law. 10.3 Cassbana does not guarantee uninterrupted or error-free access to its services. 10.4 Cassbana is not responsible for the quality, delivery, or condition of goods/services sold by merchants. 10.5 Refunds and return disputes must be resolved directly between you and the merchant. Cassbana may facilitate communication but bears no liability.

11. Notifications and Modifications

11.1 All official notices to Cassbana must be submitted in writing to info@cassbana.com. Cassbana may contact you through your registered email or phone. 11.2 Cassbana reserves the right to modify these Terms at any time. Continued use of the service constitutes acceptance of the revised Terms. 11.3 If any clause of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full effect.

12. Governing Law and Jurisdiction

12.1 This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, the Sultanate of Oman, or the Arab Republic of Egypt, as applicable. 12.2 Any disputes shall fall under the exclusive jurisdiction of the competent courts in the respective country.
